Terms and Conditions

Last updated: 19.10.2026

1. Scope

These terms govern:

  1. Use of the website at tayanita.ai.
  2. Use of any lead intelligence dashboard or service (“the Service”) that Tayanita Oy (“Tayanita”, “we”) provides to a business client (“Client”) and to the individuals the Client authorises to use it (“Users”).
  3. Custom build and maintenance engagements, together with the written order, proposal or statement of work (“Order”) for that engagement. If the Order and these terms conflict, the Order wins.

By using the website or the Service you accept these terms. Users use the Service on behalf of their Client, and the Client is responsible for its Users.

Tayanita's services are for businesses only. Consumer protection law does not apply.

2. What Tayanita provides

Tayanita builds and operates custom AI sales systems. A typical engagement includes:

  • an ideal customer profile (ICP) workshop and definition;
  • a lead discovery pipeline that finds companies matching the ICP from public sources;
  • enrichment with company facts, public financials, press signals and verified business contact routes;
  • an AI-written pre-call brief and fit category per lead;
  • a dashboard for the Client's team to review, edit and export leads;
  • optional export to the Client's own Google Sheets and Drive.

The exact deliverables, schedule and acceptance criteria are set in the Order.

3. Engagement model and fees

  1. Setup phase. A paid proof of concept or custom build, priced in the Order. Where the parties agree a test-then-pay pilot, the pilot scope, success criteria and the fee that becomes payable on success are written in the Order.
  2. Subscription phase. A monthly fee covering hosting, maintenance and support, plus pass-through of variable costs (AI model usage, search API credits, hosting above the included baseline) at cost, itemised on the invoice.

Fees are in euros, exclusive of VAT. Invoices are due within 14 days. Late payments accrue interest under the Finnish Interest Act. Tayanita may suspend the Service after 14 days' written notice of an overdue invoice.

Tayanita may change subscription fees with 60 days' written notice. Pass-through costs follow the supplier's current prices.

4. Accounts and access

  • Users sign in with a Google Workspace account on the Client's own email domain. Tayanita support accounts are listed explicitly and labelled as such in the Client's admin panel.
  • New Users are pending until a Client administrator approves them. The Client controls who has access and must remove leavers promptly.
  • Users must keep their Google account secure and must not share sessions.
  • Each User may connect their own Google account for export. Tayanita never asks for the credentials of that account; access is granted through Google's consent screen and can be revoked at any time.
  • The Client will name at least one administrator. Administrators can approve and deactivate Users, set the shared AI model configuration, and manage the discovery concurrency cap.

5. Acceptable use

The Client and its Users must not:

  • use the Service to send unsolicited communications in breach of applicable law, including the GDPR, the ePrivacy rules and the Finnish Act on Electronic Communications Services;
  • use lead data for any purpose other than the Client's own business-to-business sales and marketing;
  • resell, sublicense, publish or otherwise redistribute lead data or briefs to third parties;
  • attempt to access other clients' data, the underlying database, the crawler, or credentials;
  • reverse engineer the Service, probe it for vulnerabilities without written permission, or use it to build a competing product;
  • upload malicious code or content that infringes third-party rights.

Tayanita may suspend accounts that breach this section, with notice where practicable.

6. Data: roles, sources and rights

6.1 Client data

Data the Client supplies (customer lists, ICP interview material, feedback) remains the Client's property. Tayanita processes it only to deliver the Service, under the data processing terms in Section 6.4.

6.2 Lead data

Lead data is company and business contact information that Tayanita collects from public and openly licensed sources, and the evidence, briefs and categories derived from it.

  • The Client receives a non-exclusive, non-transferable licence to use lead data and briefs delivered to it for its own B2B sales and marketing for the term of the engagement and for 24 months after, or as stated in the Order.
  • The Client may export lead data to its own systems. Exports are the Client's responsibility from that point.
  • Tayanita retains ownership of its collection methods, pipeline, prompts, scoring logic and software, and of company-level facts it collects. Tayanita may reuse company-level facts (never person-level contact data, never the Client's briefs or categories) across engagements.
  • Source data from PRH/YTJ and the Tax Administration is licensed CC BY 4.0 and must be attributed if the Client republishes it.

6.3 Accuracy

Lead data is collected and interpreted automatically. Tayanita tags every claim in a brief with its source and status (observed, recorded, hypothesis, unknown) so Users can verify it. Tayanita does not warrant that any individual fact, contact route or fit category is correct or current. The Client must verify before relying on it and must use the in-app feedback and “mark wrong” tools so corrections propagate.

6.4 Personal data and GDPR

  • For Client-supplied personal data, Tayanita is a processor and the Client is the controller. The Order includes, or these terms incorporate by reference, an Article 28 data processing agreement covering subject matter, duration, sub-processors, security, assistance, deletion and audit.
  • For business contact data Tayanita collects from public sources, the parties are independent controllers for their respective processing, unless the Order says otherwise. Tayanita is controller for collection, storage and brief generation; the Client is controller for outreach and any downstream use.
  • Each party will handle data-subject requests it receives, inform the other where the request affects data the other holds, and cooperate within the statutory deadline.
  • The Client must, at first contact with a lead, tell the person where their details came from and where to find Tayanita's Privacy Policy (Article 14 GDPR).
  • Tayanita's sub-processors are listed in the Privacy Policy. Tayanita will give 30 days' notice of a new sub-processor; the Client may object on reasonable data-protection grounds.
  • Both parties keep a Legitimate Interest Assessment for the B2B contact processing and update it when the processing changes.

6.5 Retention and return

On termination, Tayanita will make the Client's lead data available for export for 30 days, then delete or anonymise it within 90 days, subject to backup rotation. Company-level facts may be retained in Tayanita's shared cache.

7. Hosting and service levels

  • The Service is hosted on European cloud infrastructure with European data residency by default. Third-party AI and search providers may process data outside the EU as described in the Privacy Policy.
  • Tayanita aims for high availability but gives no uptime guarantee unless an SLA is agreed in the Order. Planned maintenance is announced in advance where practicable.
  • Tayanita takes nightly database backups, retains a rolling set, and stores copies off-site. Restore procedures are tested before launch.
  • Support is by email at tayanita@tayanita.ai on Finnish business days. Response targets, if any, are set in the Order.

8. Third-party services

The Service depends on third parties: Google (sign-in, Sheets, Drive), OpenRouter and the AI model providers it routes to, Brave Search, Exa, DigitalOcean, and public registries (PRH/YTJ, Tax Administration, press wires). Tayanita is not responsible for their availability, changes to their terms, or the accuracy of data they return. If a third party withdraws or materially changes a service, Tayanita will use reasonable efforts to substitute it and may adjust pass-through pricing accordingly.

9. Intellectual property

  • Tayanita owns all intellectual property in the Service, its software, pipeline, workflow contracts, prompts, models of the ICP process and documentation, including improvements made during an engagement.
  • The Client owns its own data, brand and the specific ICP definition and content it contributed.
  • Unless the Order says otherwise, custom code built for the Client is licensed to the Client for internal use for the engagement term; it is not assigned. Source-code escrow or assignment can be agreed in the Order at additional cost.
  • The Client grants Tayanita a licence to use Client data and feedback to deliver and improve the Service. Tayanita will not use Client data to train third-party models.
  • With the Client's written consent, Tayanita may name the Client as a reference.

10. Confidentiality

Each party keeps the other's non-public information confidential, uses it only for the engagement, and protects it with at least reasonable care. This survives termination for five years. Standard exceptions apply (public knowledge, independently developed, legally required disclosure).

11. Warranties and disclaimers

  • Tayanita warrants that it will perform with reasonable skill and care and that the Service will substantially perform as described in the Order.
  • Tayanita does not warrant that the Service will find any particular number or quality of leads, that any lead will convert, that AI-generated content is free of errors, or that the Service will be uninterrupted or error-free.
  • AI output is a research aid. The Client remains solely responsible for decisions and communications made using it and for compliance of its outreach with applicable law.
  • Except as stated, all warranties implied by law are excluded to the extent permitted.

12. Liability

  • Neither party is liable for indirect or consequential loss, loss of profit, revenue, business or data, or for fines and penalties imposed on the other party, except where caused by wilful misconduct or gross negligence.
  • Tayanita's total liability under an engagement is capped at the fees paid by the Client in the 12 months before the claim.
  • Nothing limits liability for wilful misconduct, gross negligence, breach of confidentiality, or anything that cannot be limited by law.
  • The Client will indemnify Tayanita against third-party claims and regulatory action arising from the Client's outreach or its use of lead data in breach of Section 5 or 6.

13. Term, suspension and termination

  • The setup phase runs until acceptance per the Order. The subscription phase then continues month to month unless the Order sets a minimum term.
  • Either party may terminate the subscription with 30 days' written notice to the end of a calendar month, after any minimum term.
  • Either party may terminate immediately for material breach not cured within 14 days of notice, or if the other becomes insolvent.
  • On termination, Section 6.5 applies to data, outstanding fees fall due, and Sections 6, 9, 10, 12 and 15 survive.

14. Changes to these terms

Tayanita may update these terms. Material changes take effect 30 days after notice by email or in the dashboard. Continued use after that date is acceptance. If the Client objects, it may terminate under Section 13 before the change takes effect.

15. Governing law and disputes

Finnish law applies, excluding its conflict-of-law rules. The parties first try to settle disputes by negotiation. Failing that, disputes go to the Helsinki District Court, unless the parties agree arbitration in the Order.
